These Terms govern your use of the Spectral desktop application (“Spectral”, “Application”, “we”, “us”, or “our”). Spectral is a product and business name used by the individual provider identified in the website imprint, which contains the provider’s legally required identity, address, and contact information. The provider operates as a sole proprietor/private individual and is not a corporation or other separate legal entity.
By selecting “I agree” in the Application and continuing to use Spectral, you confirm that you have read and accepted these Terms. If you do not agree, do not use the Application.
1. What Spectral is
Spectral is local desktop software that works alongside your own Interactive Brokers (“IBKR”) installation and account. It may communicate with Trader Workstation, IBKR Gateway, licensing services, update services, and other third-party systems needed for its operation.
Spectral is not a bank, broker, investment firm, exchange, custodian, market-data provider, financial adviser, tax adviser, or legal adviser. Spectral does not manage your money, hold your assets, act as your broker, or guarantee any trading result.
1.1 License to use Spectral
You may use Spectral only if you have a valid license issued by the provider. A valid license may be paid or a complimentary beta license. Subject to that requirement and your compliance with these Terms, the provider grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable right to install and run the compiled Application during its license term.
The license permits use of the compiled Application only. It does not transfer ownership or grant any right to access, copy, modify, publish, distribute, sublicense, sell, lease, host, make available, reverse engineer, decompile, disassemble, or create derivative works from Spectral, its source code, documentation, design, branding, or other proprietary materials, except where applicable law does not permit a restriction.
If your license expires, is cancelled, is refunded, or is terminated, you must stop using the Application unless the provider gives you written permission to continue. A license key is a credential for the limited use right above; it is not a sale of the Application or its source code.
2. No investment advice
Charts, prices, calculations, alerts, indicators, strategies, scripts, automation features, and other information made available through Spectral are software tools and informational content only.
Spectral does not provide trading signals, investment, financial, legal, or tax advice; personal recommendations; a solicitation to buy or sell; a guarantee of profit; or a determination that any transaction is suitable for you. You are responsible for making your own decisions and obtaining independent professional advice when appropriate.
3. Trading and automated-trading risk
Trading stocks, options, derivatives, leveraged products, and other financial instruments involves substantial risk. You may lose some or all of your invested capital. Some transactions may expose you to losses greater than the amount initially deposited.
Automated or semi-automated trading can create losses faster than manual trading and may continue while you are away from the Application. Automation can act on stale data, incorrect settings, unexpected market conditions, software defects, connection failures, or signals that you did not intend to follow.
Before connecting a broker or enabling any live-trading or automated-trading feature, you must understand and accept that:
- you are solely responsible for every trade and strategy;
- you must verify the account, paper/live mode, instrument, expiry, strike, side, quantity, price, and order type;
- you must maintain sufficient buying power, margin, permissions, and risk controls;
- you must independently monitor your broker account and positions;
- fills, prices, timing, slippage, partial fills, rejections, duplicate orders, and missed orders may differ from what Spectral displays or what you intended;
- you must be able to stop, cancel, or manage positions without relying exclusively on Spectral; and
- past performance, simulated results, alerts, or strategy output do not predict future results.
You accept all risks arising from your trading decisions, inputs, settings, strategies, scripts, automation, account configuration, failure to monitor, or failure to verify information before acting.
You alone decide whether to submit, modify, cancel, or maintain an order. Before an order reaches IBKR, you must independently verify the account, instrument, side, quantity, price, and order type. IBKR remains responsible for brokerage and execution under your separate agreement with IBKR.
4. Accuracy, availability, and third-party systems
To the maximum extent permitted by applicable law, Spectral is provided without a guarantee that it will be uninterrupted, timely, secure, accurate, complete, error-free, or compatible with every system.
The Application may be affected by incorrect, delayed, incomplete, or unavailable data; IBKR, exchange, broker, internet, hardware, operating-system, firewall, network, licensing, update, or other third-party failures; software bugs; crashes; freezes; latency; disconnections; maintenance; rejected or delayed requests; and changes outside our control.
You must not rely on Spectral as the sole source of information for a trading decision or as the sole system for monitoring or managing an account.
Spectral does not operate a service that collects or stores your IBKR account, position, trade, or market data. Application data is stored locally on your device. Licensing and update providers may process limited operational data as explained in the Privacy Policy.
5. Your responsibilities
You must use Spectral lawfully and responsibly, comply with your broker agreement and applicable rules, protect your credentials and device, review orders before submission, and monitor your account independently.
You must not use Spectral to violate law or broker rules, interfere with the Application, bypass licensing or security controls, or permit unauthorised use of your account or device.
You are responsible for activity performed using your device, credentials, account, configuration, scripts, and automation settings.
6. Third-party services
Spectral may depend on IBKR and other third-party services. We do not control and are not responsible for their availability, accuracy, security, policies, decisions, actions, omissions, or failures. Your use of IBKR remains subject to your separate agreement with IBKR.
7. Disclaimer of warranties
To the maximum extent permitted by applicable law, Spectral is provided as is and as available, without express, implied, statutory, or other warranties or conditions, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, uptime, or suitability for trading or investment purposes.
8. Limitation of liability
To the extent permitted by law, the provider is liable for simple negligence only where an essential contractual duty is breached, and only for foreseeable damage typical of this agreement.
Mandatory statutory liability remains unaffected.
9. Suspension and termination
We may suspend or terminate access to Spectral if you violate these Terms, misuse the Application, create a security risk, or if continued operation would be unlawful or technically unsafe. You may stop using Spectral at any time.
10. Intellectual property
Spectral, including its software, design, branding, documentation, and related materials, is owned by or licensed to the provider or the provider’s licensors. Except for the limited right to use the Application under these Terms, no ownership rights are transferred to you.
11. Changes to these Terms
We may update these Terms when reasonably necessary. A material change may require you to accept a new version before continuing to use Spectral. The version accepted by you is stored locally on your device.
12. Applicable law and mandatory rights
These Terms do not remove or reduce any mandatory rights or protections that apply to you under the laws of your country or place of residence. Any governing-law or dispute-resolution term must be applied only to the extent permitted by those mandatory laws.
